1. Acceptance of Terms

By accessing or using the Aethenox AI website, platform, voice agent services, WhatsApp automation, APIs, or any related products (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Services.

2. Description of Services

Aethenox AI provides agentic AI solutions, including voice agents that understand and act on natural language, and WhatsApp-based automation and messaging tools. Services may include dashboards, APIs, integrations, and support. We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice where feasible.

3. Account and Registration

To use certain features, you must register for an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Complying with these Terms and all applicable laws in your use of the Services.

You must notify us promptly of any unauthorized access or breach of security.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights.
• Distribute malware, spam, or unsolicited communications in violation of law or platform policies (e.g., WhatsApp Business Policy).
• Impersonate any person or entity or misrepresent your affiliation.
• Interfere with or disrupt the Services, servers, or networks.
• Attempt to gain unauthorized access to any part of the Services or other users' data.
• Use the Services for any illegal, harmful, fraudulent, or abusive purpose.
• Resell or sublicense the Services in a manner not expressly permitted by us.

We may suspend or terminate your access if we reasonably believe you have violated these Terms or acceptable use policies of third-party platforms we integrate with (e.g., WhatsApp, Meta).

5. Payment and Subscription

Paid plans are subject to the pricing and billing terms presented at sign-up or on our pricing page. You agree to pay all fees due on time. Fees are generally non-refundable unless otherwise stated or required by law. We may change pricing with advance notice; continued use after the change constitutes acceptance. You are responsible for any taxes applicable to your use of the Services.

6. Intellectual Property

Aethenox AI and our licensors own all rights in the Services, including software, design, trademarks, and content. We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. You retain ownership of content you submit; you grant us a license to use, store, and process that content as necessary to provide and improve the Services. You represent that you have the rights to grant such license.

7. AI Outputs and Disclaimer

Our voice agents and AI features may generate responses or take actions based on your inputs. AI outputs are provided "as is" and may be inaccurate or inappropriate. You are responsible for reviewing and verifying AI-generated content before relying on it or sharing it with others. We do not guarantee the accuracy, completeness, or suitability of AI outputs for any particular purpose.

8. Third-Party Services

The Services may integrate with third-party platforms (e.g., WhatsApp, Meta, payment gateways). Your use of those services is subject to their respective terms and policies. We are not responsible for third-party services, their availability, or their data practices.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AETHENOX AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED US DOLLARS IF GREATER). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Aethenox AI and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your content, your violation of these Terms, or your violation of any third-party rights or applicable law.

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms, non-payment, or for any other reason with notice where required. You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (e.g., intellectual property, disclaimers, limitation of liability, indemnification) will survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in India. We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated via email or in-product notice.
